By using the Delay in Transit or any portion thereof, the Customer agrees to be bound by the following terms and conditions (the “Delay in Transit Terms”).
The Customer may, at the time of requesting a quotation, subscribe to the Delay in Transit for “Eligible Shipments” (as defined below), subject to the Delay in Transit Terms. The Customer shall at all times comply with the Delay in Transit Terms as well as all other applicable terms and conditions, including the OOCL Global Rule Tariff set at the carrier’s prevailing governing tariffs on www.oocl.com, and terms and conditions governing the FreightSmart services. In this regard, the Delay in Transit Terms shall incorporate the aforesaid FreightSmart Terms and Conditions. In case of any conflict between the Delay in Transit Terms and the FreightSmart Terms and Conditions, the Delay in Transit Terms shall prevail. Unless otherwise defined herein, capitalised terms shall have the same meanings as set out in the applicable terms and conditions.
For shipments to be eligible for the Delay in Transit (“Eligible Shipments”), the following conditions shall be met:
The use and provision of the Delay in Transit shall be subject to the terms of OOCL Rule Tariff E-31 (available in Rule Tariff Search), which are expressly and fully incorporated in these Delay in Transit Terms.
After the Customer has selected for Delay in Transit in the E-Spot order, the FreightSmart team will revert to the Customer on possible connection, subject to operational feasibility and space availability checking after booking submission.
In-Transit Demurrage (IDM) Charges:
Quotation on FreightSmart E-Spot order includes an upfront Delay in Transit basic handling fee, which applies regardless of the number of days requested for the shipment to stay in the transshipment port. In addition to the Delay in Transit basic handling fees, In-Transit Demurrage (IDM) charges will be charged and calculated based on the duration of cargo stay at the transshipment port which shall include any supplementary charges, including but not limited to storage rent fee, reimbursement of all costs and losses incurred, which shall include but not limited to re-nomination, lift on/off, shifting, as will be communicated to the customer via email. These IDM charges are separate from the above-mentioned Delay in Transit basic handling fee included in the E-Spot Order. Execution of the Delay in Transit service is contingent upon the customer’s confirmation of the charges and the updated connecting leg details.
Unless advised otherwise by OOCL, the Delay in Transit charges are due and payable together with the Ocean Freight as stated in the invoice.
The Customer guarantees compliance with all applicable laws, rules, and regulations relevant to the Delay in Transit.
For the avoidance of doubt, the Customer agrees that the Customer will be liable for defending, indemnifying, and holding harmless OOCL and all Related Parties from all losses due to or arising out of any breach of the Delay in Transit Terms and/or the Customer’s failure to comply with any requirements, procedures, policies, laws or regulations related to the Delay in Transit services.
OOCL shall use commercially reasonable efforts to ensure that any information provided to the Customer accurately reflects the relevant part of OOCL’s records held on OOCL’s computer systems or the information received from a third party. Certain content is provided for information purposes only and may be subject to change. In no event shall any notification generated in connection with the Delay in Transit services be deemed a warranty of the accuracy and completeness of the information contained therein or an acceptance of any additional obligations or liability contrary to OOCL’s Bill of Lading Terms and Conditions. For the avoidance of doubt, any liability in relation to the sea carriage of the shipments shall be governed by OOCL Bill of Lading Terms and Conditions, which shall prevail over these Delay in Transit Terms.
OOCL shall use commercially reasonable efforts to provide accurate information. Some content may be subject to change and is not guaranteed to be accurate. The Bill of Lading Terms and Conditions shall prevail over any conflicting terms.
The validity, interpretation, alteration, enforcement, and dispute settlement of these Delay in Transit Terms shall be governed by and construed according to English Laws.
OOCL reserves the right to amend these Delay in Transit Terms without prior notice.
